Terms of service

1. Parties and scope
These terms govern the use of the Socify service operated by COMPANY LEGAL NAME, STREET, POSTCODE CITY, COUNTRY (“Socify”, “we”). They apply to the customer (“you”) as a business. Socify is offered to businesses only; it is not directed at consumers.
2. The service
Socify is a software-as-a-service application for planning, running and measuring creator and affiliate programmes on TikTok Shop. The functional scope is what is available in the product at the relevant time; the marketing pages describe the product, they do not define a guaranteed feature set.
A public demonstration workspace is available without an account. It runs on generated data, is provided “as is” for evaluation, and may be reset or withdrawn at any time.
3. Accounts
You are responsible for the accuracy of the registration data, for the confidentiality of credentials, and for all activity in your workspace. You must notify us without undue delay if you suspect unauthorised access. Accounts may not be shared between individuals.
Password recovery is currently not automated. Until a verified email channel is in place, a lost password is restored only through a manual identity check with the workspace owner.
4. Third-party platforms
Socify accesses TikTok Shop and related TikTok APIs on your behalf and only with the authorisation you grant. You remain responsible for complying with TikTok’s terms, policies and commercial rules, including its rules on creator communication. Platform access, rate limits, quotas and available data are determined by TikTok and may change or be withdrawn without notice; that is outside our control and does not constitute a defect in the service.
You must not use Socify to circumvent a platform limit, to send messages that violate a platform’s policies, or to process data you are not entitled to access.
5. Acceptable use
- No use that violates applicable law or the terms of a connected platform.
- No unsolicited bulk messaging beyond what the connected platform explicitly permits.
- No attempt to access another customer’s workspace, to probe or breach the service’s security, or to disrupt its availability.
- No reverse engineering except to the extent such restriction is unenforceable under mandatory law.
- No resale or provision of the service to third parties without a written agreement.
6. Your data
You retain all rights in the data you enter or connect. You grant us the limited right to process it in order to provide the service. Where we process personal data on your behalf, a data processing agreement under GDPR Art. 28 applies in addition to these terms; attach the executed DPA reference here.
7. Fees
During early access, fees, billing period and payment terms are agreed individually in writing. Replace this clause with your published pricing and payment terms before self-service sign-up opens. All amounts are net of statutory VAT unless stated otherwise.
8. Availability
We aim for high availability but do not warrant uninterrupted operation. Maintenance windows, third-party outages and platform-side API failures may cause interruptions. No service level agreement applies unless separately agreed in writing.
9. Accuracy of figures
Socify presents both measured and modelled figures. Figures derived from your own shop’s order data are measured. Figures describing a third party’s performance — notably estimated GMV for creators working with other brands — are models based on public signals, are labelled as estimates in the interface, and must not be relied upon as fact. You are responsible for the commercial decisions you take.
10. Intellectual property
Socify, including its software, interface and documentation, remains our property. You receive a non-exclusive, non-transferable right to use the service for the duration of the agreement.
11. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory statutory liability applies. For slight negligence we are liable only for breach of a material contractual obligation, and then limited to the foreseeable damage typical for this type of contract. Liability for lost profits, lost data where you failed to maintain your own backups, and indirect damages is excluded to the extent permitted by law.
12. Term and termination
The agreement runs for the agreed term and may be terminated by either party at the end of a billing period unless otherwise agreed. Both parties may terminate for cause. On termination you may export your data for 30 days, after which it is deleted in accordance with the privacy policy.
13. Changes to these terms
We may amend these terms with reasonable notice. If you object to a material change, you may terminate at the date the change takes effect.
14. Governing law and venue
These terms are governed by the law of GOVERNING LAW — e.g. the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for merchants is VENUE.
15. Relationship to TikTok
Socify is an independent product. It is not affiliated with, endorsed by or sponsored by TikTok Pte. Ltd., ByteDance Ltd. or any of their affiliates. TikTok and TikTok Shop are trademarks of their respective owners.
